Terms & Conditions of Sale
The terms and conditions of sale referenced in this document pertain to ENET Solutions products.
Terms of Payment
Upon approval of credit the following terms will apply.
We accept check, ACH and wire transfers as forms of payment. Major Credit cards (Mastercard, Visa and American Express) are also accepted.
General Terms
- All prices are subject to change without notice.
- No oral quotations are authorized or binding upon ENET Solutions.
- Formal written quotations are valid for 30 days from the date of quotation unless otherwise noted in the quotation. Any orders placed upon these specified locations after the 30-day period will be subject to re-negotiation by ENET Solutions, and will not be protected unless otherwise stated in writing
- All ENET Solutions products are sold at F.O.B. ENET Solutions shipping point.
Claims
Claims for shortages or alleged erroneous charges must be presented to ENET Solutions corporate offices within 5 days after receipt of the material or they will not be allowed.
Freight and Drop Ship Policy
- All orders for domestic or international destinations are shipped F.O.B. shipping point.
- Purchasers are responsible for all freight charges for orders less than or equal to ENET Solutions freight allowed policy.
- For orders to all other international destinations, the Purchaser is responsible for freight, duties, taxes, and other charges associated with importing.
- The optimal method of routing and shipment shall be selected by ENET Solutions. If purchaser desire a special method for routing or shipment, ENET Solutions must be advised in writing at the time of order.
- Any cost difference between the special shipping method and optimal method will be charged to the Purchaser.
- Overnight Requests will be accepted up until 3:00 PM PST.
Limited Warranty
ENET Solutions warrants the Purchaser that the products purchased will be of merchantable quality and free from defects of material and workmanship, under normal use and service for a minimum of one year from the date of the ENET Solutions invoice.
ENET Solutions is not liable for products that are damaged as the result of Purchasers’ lack of adequate instructions on the proper use of a product. ENET Solutions will not be liable for any modifications to its products by the Purchaser or Purchasers agent. Such modifications shall void the warranty.
Satisfaction of this warranty will be limited to (at ENET Solutions discretion): (1) the replacement of the product by ENET Solutions, or (2) repair or modification of the product by ENET Solutions, or (3) issuance of a credit for the defective products delivered under the order involved. This warranty ceases to be effective if ENET Solutions examination of the product discloses that the defect was due to misuse, improper maintenance, alteration, modification, accident or unusual degradation of the product or parts due to physical environments in excess of its intended limits.
There are no warranties which extend beyond the description herein. This warranty is in lieu of all other warranties whether express, implied or statutory including implied warranties of merchantability of fitness for a particular purpose. Purchaser acknowledges that he is not relying on ENET Solutions skill or judgment to select or furnish goods suitable for a particular purpose. This warranty extends only to the Purchaser from ENET Solutions or its authorized distributor. ENET Solutions may refuse any item returned for reasons other than those covered by ENET Solutions limited warranty. All warranty returns require an RMA number to be returned.
Limitations of Liability
ENET Solutions sole obligation (and Purchaser’s sole and exclusive remedy) for defective goods shall be to repair or, at ENET Solutions option, to replace F.O.B. the original ship point of delivery, or issue credit for, any goods which are proven to be defective.
The foregoing remedies are exclusive and in lieu of all express and implied warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
ENET Solutions will not, under any circumstances, be liable for the cost of removal or reinstallation of goods or the cost of disassembly or reassembly of equipment in connection therewith, or the loss of the use of Purchaser’s equipment or facilities, or the loss of business or goodwill or profits, or the cost of inspection or storage, or for any incidental or consequential damage of the nature or description whatsoever which may arise from ENET Solutions sale or goods to Purchaser or resale/transfer to subsequent Purchasers.
Acknowledgement
The Purchaser hereby acknowledges that he has read this agreement, understands it, and agrees to be bound by its terms and conditions and further agrees that it is the complete and exclusive agreement between the parties, which supersedes all proposals oral or written and all other communications between the parties relating to this matter.
Return Policy
ENET Solutions requires that permission for return of goods must first be secured from ENET Solutions in writing. A Return Material Authorization (RMA) form must be completed and signed by an authorized distributor and by an ENET Solutions Representative. All material returns are subject to inspection by ENET Solutions and must fall within the following conditions or it will be returned to the distributor freight collect:
- ENET Solutions reserves the right to reject any request for the return of materials purchased more than 30 days prior to the date of request. A valid Purchase Order number must be referenced. Products returned past the allowable time frame may be subject to a restocking fee based on the original purchase date.
- Material must have originally been sold by ENET Solutions to an authorized ENET Solutions distributor of specific brand.
- All items must be complete, in good resale condition, in the original carton and carton quantity. Products returned that do not meet this requirement are subject to refusal and/or a restocking fee.
- No credit will be given for items returned which are not included in an approved RMA or which exceed approved quantities.
- All non-stock to ENET Solutions, special items, or obsoleted items are excluded from RMA eligibility. Orders for special and/or custom-built items are non-cancelable and non-returnable.
- A copy of the RMA must accompany the material being returned. The copy should be affixed to the exterior of the shipping carton via a packing slip envelope.
- Do not ship excessively heavy items in one box. Shipper should break down into multiple box shipments to prevent damage of small parcels.
- All returns must be received freight prepaid using the shipper’s account number.
- Material must be returned to the indicated ENET Solutions Distribution Center within 14 days of RMA issuance date or RMA will be voided.
- ENET reserves the right to decline products to be returned that exceed specific products material shelf life. Any product(s) with expiration dates cannot be returned.
- All products returned for repair UNDER WARRANTY will be repaired or replaced at no charge for parts and labor under the terms specified by the applicable warranty. Such returns shall adhere to the following procedures:
- All returns for defective products must be made within 14 days after authorization of the claim. ENET Solutions must be advised of all claims in writing to be valid. Written authorization must be secured from ENET Solutions for the return of defective material.
Trade Terms & Conditions of Sales
- Shipments will be billed through an authorized ENET Solutions distributor.
- ENET Solutions cannot accept material for credit or exchange. Any requests for return of material must be made to the ENET Solutions distributor from whom the material was originally purchased.
- The terms of shipment shall be F.O.B. shipping point. Additional charges for packaging or shipping may apply depending upon customer specifications.
- Delivery and shipment dates are estimated dates only, and unless specified, are determined from the date of receipt of complete order and technical information as required. In estimating such dates, no allowance has been made nor shall ENET Solutions be liable directly or indirectly for delays of carriers or delays from labor difficulties, shortages, strikes or stoppages of any sort, fires, accidents, failure or delay in obtaining materials or manufacturing facilities, acts of government affecting us directly or indirectly, bad weather, or any causes beyond our control or causes designated Acts of God or force majeure by any court of law, and the estimated delivery date shall be extended accordingly. We will not be liable for any damages or penalties whatsoever, whether direct, indirect, special, or consequential, resulting from our failure to perform or delay in performing unless otherwise agreed in writing by an authorized officer of ENET Solutions.
- Unless you specify otherwise in writing and accepted in writing by ENET Solutions, goods will be boxed or crated as we may deem proper for protection against normal handling and routing and manner of shipment will be at our discretion, and may be insured at your expense, value to be stated at order price. Customer’s other blanket shipping instructions cannot be effectively recorded or complied with. Therefore, ENET Solutions cannot accept standing general or blanket shipping instructions. Full shipping instructions must accompany each individual order and be accepted by ENET Solutions. On all shipments F.O.B. our plant, delivery of goods to the initial carrier will constitute delivery to you and all goods will be shipped at your risk. A claim for loss or damage in transit must be entered with the carrier and prosecuted by you. Claims of short shipment must be made to ENET Solutions customer service within five (5) days of receipt of material.
